Sales Contract 外贸销售合同
This sales contract is made and entered into by and between Party A (hereinafter referred to as the "Seller") and Party B (hereinafter referred to as the "Buyer"), both parties agreeing to the terms and conditions set forth below.
1. Product Description: The Seller agrees to sell, and the Buyer agrees to purchase the goods described in this contract, including but not limited to specifications, quantities, and prices as detailed in the attached Schedule A.
2. Price and Payment Terms: The total price for the goods shall be as specified in Schedule A. Payment shall be made in full within 30 days from the date of invoice issuance. All payments shall be made in USD unless otherwise agreed upon in writing by both parties.
3. Delivery Terms: The Seller shall deliver the goods to the location specified by the Buyer, FOB (Free On Board) at the port of shipment, on or before the delivery date as stated in Schedule A. The Buyer shall arrange for transportation and insurance after the goods have been loaded onto the vessel.
4. Quality Assurance: The goods supplied under this contract shall conform to the standards and specifications agreed upon by both parties. Any disputes regarding the quality of the goods shall be resolved through mutual consultation.
5. Force Majeure: Neither party shall be held liable for any delay or failure in performance due to events beyond its reasonable control, such as natural disasters, wars, or governmental actions.
6. Dispute Resolution: Any disputes arising out of or relating to this contract shall be settled amicably through negotiation. If no settlement can be reached, the dispute shall be submitted to arbitration in accordance with the rules of the International Chamber of Commerce.
7. Governing Law: This contract shall be governed by and construed in accordance with the laws of [Country/Region], without regard to its conflict of law principles.
Both parties acknowledge that they have read, understand, and agree to all the terms and conditions set forth in this sales contract. This contract constitutes the entire agreement between the parties and supersedes all prior agreements, whether written or oral.
